These Terms and Conditions (“Terms”) apply to the website operated by Paradise Technologies, Inc. (“Paradise Technologies,” “PTi,” “we,” “us” or “our”), including paradise-technologies.com and Paradise Technologies webpages that link to these Terms (collectively, the “Site”).
1. Scope and acceptance
By accessing or using the Site, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Site.
These Terms govern only the Site and related pre-sales or general communications. They do not replace or amend a signed client agreement. If a written agreement with Paradise Technologies conflicts with these Terms concerning paid services, the written agreement controls for those services.
2. Who we are
Paradise Technologies, Inc. provides managed IT, cybersecurity, cloud, networking, website and related technology services. Our primary business address is 302 Southard St. #101, Key West, Florida 33040. Contact information appears at the end of these Terms.
3. Permitted website use
You may use the Site for lawful informational and business purposes, such as learning about our services, contacting us, requesting an assessment or quote, applying for an open position, or accessing a clearly identified third-party client or support portal.
You are responsible for your internet connection, device, browser and any costs associated with accessing the Site.
4. Prohibited activities
You may not use the Site to:
- Violate any applicable law, regulation or third-party right.
- Transmit malware, harmful code, spam, deceptive messages or unlawful content.
- Attempt to gain unauthorized access to the Site, server, accounts, portals, networks or related systems.
- Probe, scan, penetration-test or evaluate the security of the Site or related systems without our prior written authorization defining the permitted scope.
- Interfere with availability, performance, security or normal operation.
- Bypass access controls, rate limits, robot exclusions or other technical restrictions.
- Scrape, harvest, copy or bulk-download content or contact information through automated means except as expressly permitted by us or by standard search-engine indexing instructions.
- Submit false identities, impersonate another person, or provide information you are not authorized to provide.
- Misuse contact, employment, consultation, support or quote-request forms.
We may block or restrict activity that we reasonably believe threatens the Site, our systems, our clients, our staff or other users.
5. Website information is general
We make reasonable efforts to present useful and current information, but Site content may be incomplete, outdated, unavailable or contain errors. We may change content at any time without notice.
Information about cybersecurity, privacy, compliance, insurance, regulations, products, vendors, technology or business practices is provided for general informational purposes. It is not legal, tax, accounting, insurance or regulatory advice. Requirements vary by organization and change over time. Consult the appropriate qualified adviser before acting on a legal, regulatory, insurance or compliance matter.
6. No service relationship from website use
Viewing the Site, submitting a form, requesting information, scheduling a conversation or receiving a preliminary response does not by itself create a client, fiduciary, consulting, contractor, managed-services or professional-services relationship.
Paid services may be governed by one or more separate documents, including:
- A quote, proposal or order
- A statement of work
- A master service or managed services agreement
- A service-level agreement
- A hosting, website, software or licensing agreement
- A data-processing, confidentiality or business associate agreement where applicable
Those documents define the scope, fees, responsibilities, exclusions, service levels, warranties, liability, term and termination rules for the applicable service.
7. Assessments, quotes, pricing and promotions
Service descriptions, examples, plan summaries, prices, promotions, response times and availability displayed on the Site are general information unless expressly stated otherwise. They are not a binding offer and may depend on location, eligibility, staffing, equipment availability, technical condition, client cooperation, service scope and contract requirements.
A request for an assessment, consultation or quote does not obligate you to purchase services and does not obligate Paradise Technologies to accept an engagement or issue a proposal.
A written quote or proposal may be based on the information reasonably available when prepared. Additional conditions, outdated systems, unsupported products, security issues, licensing requirements or undisclosed needs may require a revised scope or price. A signed agreement or accepted order controls over general Site content.
8. Forms and communications
When you submit a form, email us or otherwise provide information, you represent that the information is accurate to the best of your knowledge and that you have authority to provide it. If you act for a business, you represent that you are authorized to communicate concerning that business.
You authorize us to respond using the contact information provided. Submitting a general form does not guarantee a response time, service availability or acceptance of a request.
Email and ordinary website forms may not be secure. Use an approved secure portal or other method when instructed to send credentials, regulated data, confidential files or other sensitive information.
9. Accounts, support portals and payment portals
The Site may link to client, support, billing, payment or vendor portals. Some portals are operated by third parties and may require a separate account or acceptance of additional terms.
You are responsible for protecting usernames, passwords, authentication devices and recovery methods associated with your account. Notify the applicable portal provider and Paradise Technologies promptly if you suspect unauthorized access involving a Paradise Technologies relationship.
Do not use a portal account belonging to another person or organization without authorization. Portal access may be suspended or removed when reasonably necessary for security, contract administration or suspected misuse.
10. Intellectual property
The Site and its original text, graphics, logos, design, layout, code, downloads and other content are owned by or licensed to Paradise Technologies and are protected by intellectual-property laws.
You may view and print reasonable portions of the Site for your internal, noncommercial evaluation of our services. Unless we give prior written permission, you may not reproduce, republish, distribute, sell, modify, create derivative works from, publicly display or commercially exploit Site content.
Third-party names, logos, product names and trademarks belong to their respective owners. Reference to a third party does not necessarily imply sponsorship, certification, partnership or endorsement.
11. User submissions and feedback
You retain ownership of information and materials you submit. You grant Paradise Technologies permission to use, reproduce and share the submission as reasonably necessary to respond to your request, evaluate an application, prepare a proposal, provide requested services, maintain business records or comply with law.
Do not submit material that is unlawful, defamatory, infringing, malicious or that you are not authorized to disclose. Unless we have a written confidentiality agreement covering the submission, do not send trade secrets or highly confidential material through a public Site feature.
If you voluntarily provide general suggestions or feedback about the Site or our services, we may use that feedback without restriction or compensation, provided we do not publicly identify you without permission.
12. Third-party links, content and services
The Site may contain links to or embedded features from mapping, analytics, social-media, scheduling, employment, support, payment, cloud, software or other third-party providers. We do not control those services and are not responsible for their content, availability, security, accuracy or practices.
Your use of a third-party service is governed by that provider’s terms and privacy policy. A link does not necessarily mean that Paradise Technologies endorses the provider or guarantees its products or services.
13. Website disclaimers
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SITE AND ITS CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY.
PARADISE TECHNOLOGIES DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT TO THE EXTENT PERMITTED BY LAW. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, COMPLETELY SECURE, FREE OF HARMFUL COMPONENTS OR SUITABLE FOR A PARTICULAR PURPOSE.
These website disclaimers do not replace warranties or service commitments expressly stated in a separate signed agreement.
14. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, PARADISE TECHNOLOGIES AND ITS OFFICERS, EMPLOYEES, CONTRACTORS AND REPRESENTATIVES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO THE SITE, EVEN IF ADVISED THAT SUCH DAMAGES MAY OCCUR.
This includes, where permitted, loss of profits, revenue, data, business opportunities, goodwill or use, and damages related to interruption, third-party content, device problems or inability to access the Site.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited. Liability arising from paid services is governed by the applicable written service agreement rather than this website section.
15. Indemnification
To the extent permitted by law, you agree to defend, indemnify and hold harmless Paradise Technologies and its officers, employees, contractors and representatives from third-party claims, losses, liabilities and reasonable expenses arising from your unlawful misuse of the Site, your material violation of these Terms, or your infringement of another party’s rights.
This section does not require indemnification for claims caused by Paradise Technologies’ own conduct where such indemnification is prohibited by law.
16. Privacy
Our Privacy Policy explains how we collect, use, disclose, protect and retain personal information associated with the Site and business communications. By using the Site, you acknowledge that policy.
17. Changes, suspension and availability
We may update these Terms by posting a revised version with a new “Last updated” date. Changes apply from the stated effective date. Your continued use of the Site after that date constitutes acceptance of the revised Terms.
We may modify, suspend, restrict or discontinue any part of the Site when reasonably necessary, including for maintenance, security, legal compliance or suspected misuse. We are not obligated to keep any particular page, feature, download, price or service description available.
18. Governing law and venue
These Terms and disputes arising specifically from use of the Site are governed by the laws of the State of Florida, without regard to conflict-of-law principles, except where applicable law requires otherwise.
Subject to any non-waivable rights or requirements, disputes concerning these website Terms will be brought in the state or federal courts having jurisdiction in Monroe County, Florida. Disputes arising from paid services remain subject to the dispute provisions in the applicable service agreement.
19. General provisions
If any provision of these Terms is found unenforceable, it will be enforced to the maximum lawful extent and the remaining provisions will continue in effect. Our failure to enforce a provision is not a waiver of that provision.
You may not assign rights or obligations under these Terms without our written consent. We may assign these Terms in connection with a merger, reorganization, sale of assets or similar business transaction.
These Terms and the Privacy Policy are the entire agreement concerning public use of the Site. They do not supersede a separate written agreement governing paid services.
20. Contact us
Contact us with questions about these Terms and Conditions.
These Terms address public website use and general pre-sales communication. Specific services, payments, cancellations, service levels, warranties, data handling and client responsibilities are governed by the written agreement applicable to the engagement.
